1. Introduction

1.1 About these Terms

These Terms and Conditions ("Terms") govern the use of the Privi website, mobile application and membership services. By creating an account, purchasing a membership or using any part of the Privi platform, you agree to be legally bound by these Terms.

If you do not agree to these Terms, you must not create an account, purchase a membership or continue using Privi.

These Terms form a legally binding agreement between you and Privi.

1.2 About Privi

Privi is a paid membership platform that gives members access to exclusive offers, discounts and benefits provided by participating businesses throughout the United Kingdom.

Privi is designed to help members discover places to eat, shop, relax and enjoy experiences while making savings through participating businesses.

Privi is not a retailer, restaurant, venue or service provider. Goods and services purchased through participating businesses are supplied directly by those businesses under their own terms and conditions.

1.3 Acceptance of these Terms

By creating an account or using Privi you confirm that:

  • you have read these Terms in full;
  • you understand these Terms;
  • you agree to comply with these Terms;
  • you agree to any policies referred to within these Terms, including the Privacy Policy and any other applicable policies published by Privi.

1.4 Changes to these Terms

Privi may update these Terms from time to time to reflect changes in legislation, business operations, technology or the services provided.

Where changes materially affect members' rights or obligations, reasonable notice will be provided before the updated Terms take effect.

Your continued use of Privi after updated Terms become effective constitutes acceptance of those revised Terms.

1.5 Additional Policies

These Terms should be read together with all other policies published by Privi, including but not limited to:

  • Privacy Policy
  • Cookie Policy
  • Business Partner Agreement (where applicable)

Together, these documents form the contractual framework governing the use of Privi. Privi's Subscription Terms, Cancellation and Refund Policy, Members' Rules, Acceptable Use Policy, Consumer Rights and Complaints Policy, Website Legal Notices and Referral Programme Terms are no longer published as separate documents — they are incorporated directly into these Terms as Sections 20 to 26 below.

2. Definitions

For the purposes of these Terms, the following definitions apply.

  • Account means the personal Privi account created by a member to access the services provided through the website or mobile application.
  • Business means any company, sole trader, partnership or organisation that has agreed to publish one or more offers through Privi.
  • Business Offer means any promotion, discount, reward, benefit or incentive made available by a participating business through Privi.
  • Business Partner means a business that has been approved by Privi to publish offers on the platform.
  • Content means all text, graphics, logos, icons, software, branding, layouts, databases, code, images and other materials made available through Privi.
  • Member means an individual who holds an active Privi membership.
  • Membership means the paid subscription that provides access to Business Offers and other membership benefits available through Privi.
  • Offer means any discount, promotion or benefit displayed within the Privi platform by a participating Business Partner.
  • Platform means the Privi website, mobile application and any associated online services operated by Privi.
  • Redemption means the process by which a Member accesses or uses an Offer using a method approved by Privi and the participating Business.
  • Subscription means the recurring monthly or annual payment that provides continued Membership.
  • User means any person accessing or using the Platform, whether or not they hold an active Membership.

Unless the context requires otherwise:

  • singular words include the plural;
  • plural words include the singular;
  • references to one gender include all genders;
  • headings are included for convenience only and do not affect interpretation.

3. Eligibility

3.1 Who may become a Member

To create a Privi account or purchase a Membership, you must:

  • be at least 18 years of age;
  • have the legal capacity to enter into a binding contract;
  • reside in the United Kingdom or another location where Privi makes its services available;
  • provide accurate, complete and up-to-date information when registering your account; and
  • comply with these Terms and all other applicable Privi policies.

Privi reserves the right to refuse, suspend or terminate Membership where these eligibility requirements are not met.

3.2 Accuracy of Information

You are responsible for ensuring that all information provided to Privi is accurate and kept up to date.

If your details change, you should update your account as soon as reasonably possible.

Providing false, misleading or fraudulent information may result in the suspension or termination of your Membership without refund.

3.3 One Account per Individual

Each Membership is intended for the personal use of one individual only.

Unless expressly authorised by Privi, an individual may only hold one active Membership account.

Creating multiple accounts to obtain additional offers, introductory pricing or other Membership benefits is prohibited.

Privi reserves the right to merge, suspend or permanently remove duplicate accounts where misuse is identified.

3.4 Account Security

You are responsible for maintaining the confidentiality of your login details.

You must take reasonable steps to prevent unauthorised access to your account.

You must not:

  • share your login credentials with another person;
  • permit another person to use your Membership;
  • knowingly allow unauthorised access to your account.

You remain responsible for all activity that takes place using your account unless you have notified Privi that your account security has been compromised.

If you believe your account has been accessed without your permission, you should change your password immediately and notify Privi as soon as reasonably practicable.

3.5 Business Use

Privi Membership is intended for personal consumer use.

Unless expressly authorised by Privi in writing, Membership may not be used:

  • for commercial resale;
  • by businesses purchasing Memberships on behalf of customers;
  • to generate commercial profit through redistribution of offers; or
  • in any manner inconsistent with the intended purpose of the Platform.

Separate commercial arrangements may be offered by Privi from time to time but will be subject to their own terms.

3.6 Right to Refuse Membership

Privi reserves the right to refuse any application for Membership where it reasonably believes that:

  • these Terms may be breached;
  • fraudulent or unlawful activity is suspected;
  • false information has been provided;
  • an applicant has previously had a Membership suspended or terminated for breaching these Terms; or
  • accepting the Membership would expose Privi, its Members or participating Businesses to unreasonable risk.

Where reasonably possible, Privi will explain the reason for refusing an application. However, Privi is not obliged to disclose information where doing so would compromise fraud prevention, security measures or legal obligations.

4. Membership

4.1 Membership Overview

A Privi Membership provides Members with access to participating Business Offers available through the Privi Platform during the period of an active Subscription.

Membership provides access to offers published by participating Businesses but does not guarantee that a particular offer, business or category will always be available.

The range, number and availability of offers will naturally evolve as Businesses join, leave or amend their participation.

4.2 Membership Benefits

Subject to an active Subscription, Members may be able to:

  • browse participating Businesses;
  • discover offers based on their location;
  • save favourite Businesses and Offers;
  • redeem eligible offers in accordance with each Business's redemption requirements;
  • access additional Membership features introduced by Privi from time to time.

Privi may introduce, improve or discontinue features as the Platform develops.

4.3 Membership Does Not Guarantee Savings

Privi provides access to offers made available by participating Businesses.

Actual savings will depend upon:

  • which Businesses a Member chooses to visit;
  • whether an Offer is available at the time of redemption;
  • compliance with any conditions attached to the Offer;
  • the Member's purchasing decisions.

Privi does not guarantee that every Member will achieve a particular level of financial saving.

4.4 Availability of Businesses and Offers

Businesses independently decide:

  • whether to participate in Privi;
  • which offers to publish;
  • the value of those offers;
  • any applicable conditions;
  • when offers begin or end.

As a result, the Businesses and Offers available through Privi may vary by location and may change without notice.

Privi will use reasonable efforts to keep information accurate and up to date but cannot guarantee continuous availability of any specific Business or Offer.

4.5 Membership is Personal

Membership is personal to the registered Member.

Unless a Business Offer specifically permits otherwise, Membership may not be transferred, shared, sold, loaned or assigned to another individual.

Any attempt to transfer Membership rights may result in immediate suspension or termination of the account.

4.6 Digital Service

Privi is a digital Membership service.

Membership provides access to digital content and participating Business Offers through the Platform.

No physical membership card is included unless expressly stated by Privi.

Members are responsible for ensuring they have a compatible device and internet connection capable of accessing the Platform.

4.7 Service Availability

Privi aims to make the Platform available at all times.

However, access may occasionally be interrupted due to:

  • scheduled maintenance;
  • software updates;
  • technical faults;
  • security incidents;
  • failures of third-party systems;
  • circumstances beyond Privi's reasonable control.

Privi will use reasonable endeavours to minimise disruption but does not guarantee uninterrupted or error-free availability.

Temporary interruptions do not normally entitle Members to compensation or refunds unless required by applicable law.

4.8 Future Development

Privi is a developing service.

To improve the Member experience, Privi may introduce new features, categories, Businesses, technologies and functionality over time.

Privi may also remove or replace features that are no longer appropriate, practical or commercially viable.

Where changes materially affect the Membership service, Members will be notified where reasonably practicable.

4.9 Relationship Between Members and Businesses

When a Member purchases goods or services from a participating Business, the contract for those goods or services is formed directly between the Member and the Business.

Privi is not a party to that transaction.

Any questions relating to products, food, services, pricing, availability, quality, warranties or customer service should initially be directed to the relevant Business.

Nothing within these Terms limits any statutory rights a Member may have against the Business supplying the goods or services.

5. Subscription and Payment

5.1 Subscription Plans

Privi offers Membership through recurring subscription plans.

At launch, the available subscription options are:

  • Monthly Membership; and
  • Annual Membership.

The current subscription prices are displayed on the Privi website and mobile application at the time of purchase.

All prices are shown in Pounds Sterling (£) unless otherwise stated.

5.2 Payment

Membership fees must be paid in advance using a payment method accepted by Privi.

By purchasing a Membership, you authorise Privi, or its appointed payment provider, to collect recurring payments in accordance with your chosen subscription plan.

Payments are securely processed by authorised third-party payment providers. Privi does not store your full payment card details.

5.3 Subscription Commencement

Your Membership begins once payment has been successfully authorised and your account has been activated.

Access to Member-only content and Business Offers is available only whilst your Membership remains active.

5.4 Automatic Renewal

Unless cancelled in accordance with these Terms, all Membership subscriptions automatically renew at the end of each subscription period.

By purchasing a Membership, you agree that recurring payments will continue until cancelled.

Renewal payments will normally be collected using your saved payment method on or shortly before your renewal date.

5.5 Renewal Pricing

Your subscription will normally renew at the price applicable to your Membership at the time of renewal.

If Privi intends to increase subscription prices, Members will be given reasonable notice before the new price takes effect.

Members who do not wish to continue at the revised price may cancel their Membership before their next renewal date.

5.6 Failed Payments

If a scheduled payment cannot be successfully collected, Privi may:

  • attempt to collect payment again;
  • notify you that payment has failed;
  • temporarily restrict access to Membership benefits;
  • suspend your Membership until payment is received.

If payment remains outstanding, your Membership may be cancelled.

Privi reserves the right to recover any unpaid subscription fees where legally permitted.

5.7 Taxes

Subscription prices include any taxes required by law unless otherwise stated.

If tax rates change, Privi reserves the right to adjust pricing where required by applicable legislation.

5.8 Promotional Pricing

From time to time, Privi may offer promotional pricing, introductory offers or limited-time Membership discounts.

Such promotions:

  • may be available only for specified periods;
  • may apply only to new Members or selected groups;
  • may be subject to additional terms.

Unless expressly stated otherwise, promotional pricing applies only for the promotional period and does not guarantee the same price upon renewal.

5.9 Payment Security

All payments are processed using secure payment systems provided by authorised third-party payment providers.

Privi takes reasonable steps to ensure payment information is handled securely but cannot accept responsibility for failures arising from third-party payment systems outside its reasonable control.

5.10 Changes to Subscription Plans

Privi may introduce new Membership plans, modify existing plans or discontinue particular subscription options.

Where such changes materially affect existing Members, reasonable notice will be provided before the changes take effect.

Existing Members may be offered the opportunity to remain on their current plan where commercially practical, although this cannot be guaranteed.

6. Cancellation

6.1 Cancelling Your Membership

You may cancel your Membership at any time through your account settings or by using any other cancellation method made available by Privi.

Cancellation prevents future renewal payments but does not normally end your Membership immediately.

Unless otherwise required by law, your Membership will remain active until the end of the subscription period that has already been paid for.

6.2 Effect of Cancellation

Following cancellation:

  • no further recurring subscription payments will be collected unless you choose to re-subscribe;
  • your Membership benefits will continue until the end of your current paid subscription period;
  • access to Member-only features, offers and services will end once your Membership expires.

Your account may remain available for administrative purposes unless you separately request account deletion in accordance with the Privacy Policy.

6.3 Rejoining

Former Members may purchase a new Membership at any time, subject to the subscription plans and prices available at the time of rejoining.

Previous promotional pricing or legacy subscription arrangements may not be available when rejoining.

6.4 Cancellation by Privi

Privi may suspend or terminate a Membership where:

  • these Terms have been breached;
  • fraudulent activity is suspected;
  • Membership has been used unlawfully;
  • payment obligations have not been met;
  • continued Membership would present a security, legal or operational risk.

Where reasonably practicable, Privi will notify the Member before termination.

Immediate suspension or termination may occur without prior notice where necessary to prevent fraud, protect Businesses or Members, comply with legal obligations or safeguard the integrity of the Platform.

6.5 Cooling-Off Rights

If you purchase a Membership online, you may have the right under applicable consumer legislation to cancel within the statutory cooling-off period.

Where you request immediate access to the digital Membership during that period, your cancellation rights may be affected in accordance with applicable law.

Further information is provided in Section 21 (Cancellation and Refund Policy) below.

7. Refund Policy

7.1 General Policy

Privi aims to provide a fair and transparent Membership service.

Refund requests will be considered in accordance with these Terms, Section 21 (Cancellation and Refund Policy) below and applicable consumer legislation.

7.2 Subscription Fees

Subscription payments are generally non-refundable once paid.

Cancelling a Membership stops future renewal payments but does not normally entitle the Member to a full or partial refund for the current subscription period.

7.3 Circumstances Where Refunds May Be Considered

Privi may provide a full or partial refund where, for example:

  • a duplicate payment has been taken in error;
  • a technical fault caused an incorrect charge;
  • a payment was processed incorrectly by Privi;
  • a refund is required by applicable law;
  • Privi determines, at its sole discretion, that exceptional circumstances justify a refund.

Each request will be considered individually.

Nothing in this section limits any statutory rights available to consumers under applicable law.

7.4 No Refund for Unused Membership

No refund or credit will normally be provided because:

  • a Member has not used their Membership;
  • a Member has not redeemed any offers;
  • a Member changes their mind after the applicable cancellation period;
  • a Member no longer wishes to use the service.

Membership provides ongoing access to the Platform throughout the subscription period rather than guaranteeing a minimum level of use.

7.5 Business-Related Issues

Refunds will not normally be provided because:

  • a Business has withdrawn from the Platform;
  • an individual Offer has expired;
  • a particular Business is unavailable;
  • a Business has amended the terms of an Offer;
  • a Member chooses not to use available Businesses or Offers.

Privi continually develops its network of participating Businesses and cannot guarantee that any individual Business or Offer will remain available throughout a Membership period.

7.6 Refund Method

Where a refund is approved, it will normally be returned using the original payment method wherever reasonably possible.

Processing times will depend upon the payment provider and financial institution involved.

7.7 Statutory Rights

Nothing in these Terms excludes or limits any rights that cannot legally be excluded under the laws of England and Wales or any other applicable consumer protection legislation.

8. Business Offers

8.1 Independent Businesses

All offers available through Privi are created and managed by participating Businesses.

Each Business is solely responsible for:

  • the offers it publishes;
  • the products or services it supplies;
  • the accuracy of its offer descriptions;
  • the availability of its offers;
  • honouring valid offer redemptions in accordance with its published terms.

Privi provides the platform through which offers are displayed but is not the supplier of the underlying goods or services.

8.2 Accuracy of Offers

Privi encourages Businesses to keep all published information accurate and up to date.

However, Businesses remain responsible for ensuring that their offers correctly describe:

  • the discount or benefit available;
  • any exclusions;
  • opening times where relevant;
  • booking requirements;
  • eligibility criteria;
  • redemption conditions;
  • expiry dates where applicable.

While Privi takes reasonable steps to review information published on the Platform, it cannot guarantee that all information will always remain complete, accurate or current.

8.3 Changes to Offers

Businesses may amend, suspend or withdraw offers at any time.

This may occur for a variety of legitimate reasons, including but not limited to:

  • seasonal promotions;
  • stock availability;
  • operational requirements;
  • changes in trading conditions;
  • staffing shortages;
  • business closure;
  • exceptional circumstances.

Privi will endeavour to reflect such changes on the Platform as soon as reasonably practicable after being notified by the Business.

8.4 Availability

Offers are subject to availability.

A Business may limit the availability of an offer by:

  • day of the week;
  • time of day;
  • booking availability;
  • stock levels;
  • service capacity;
  • geographical location;
  • other reasonable conditions published with the offer.

Members are responsible for checking any applicable conditions before visiting or booking with a Business.

8.5 Offer Conditions

Each offer may include its own specific conditions.

Examples include, but are not limited to:

  • advance booking requirements;
  • minimum spend requirements;
  • excluded products or services;
  • exclusions on public holidays or special events;
  • one redemption per visit;
  • one redemption per Member;
  • dine-in only;
  • collection only;
  • valid only during specified hours.

Where an offer contains specific conditions, those conditions apply in addition to these Terms.

8.6 Business Responsibility

The contract for any goods or services purchased using a Privi offer is formed directly between the Member and the Business.

The Business remains solely responsible for:

  • product quality;
  • food safety;
  • service standards;
  • pricing;
  • fulfilment of orders;
  • warranties;
  • refunds relating to purchased goods or services;
  • compliance with applicable laws and regulations.

Privi is not responsible for the performance of the Business once the Member enters into a transaction with that Business.

8.7 Pricing

Unless expressly stated otherwise, discounts apply only to the Business's standard selling price at the time of purchase.

Businesses are responsible for determining their own pricing.

Privi does not control or approve the pricing of goods or services sold by participating Businesses.

8.8 Refusal of Service

Nothing within these Terms prevents a Business from refusing to supply goods or services where it is legally entitled to do so.

Examples may include:

  • abusive or threatening behaviour;
  • intoxication;
  • health and safety concerns;
  • age restrictions;
  • failure to comply with the Business's own lawful terms and conditions;
  • suspected fraud.

The existence of a valid Privi Membership does not override the lawful rights of a Business to refuse service where appropriate.

8.9 Errors

Occasionally an offer may contain an administrative, pricing or technical error.

Where an obvious error has occurred, Privi or the Business may withdraw or correct the offer.

Neither Privi nor the Business will normally be required to honour an offer where it is clear that the published information resulted from a genuine and obvious mistake.

8.10 Business Closure

Privi cannot guarantee the continued trading of participating Businesses.

If a Business permanently closes, temporarily ceases trading or leaves the Platform, Members will not normally be entitled to compensation or a Membership refund.

Privi continually works to expand and refresh its network of participating Businesses and offers.

8.11 Removal from the Platform

Privi reserves the right to suspend, remove or decline to publish any Business or offer where it reasonably believes that doing so is necessary to:

  • protect Members;
  • maintain the integrity of the Platform;
  • comply with legal obligations;
  • investigate complaints;
  • address inaccurate or misleading information;
  • prevent misuse of the Platform.

Privi is under no obligation to continue displaying any particular Business or offer.

8.12 Complaints About Businesses

If a Member experiences an issue with a participating Business, they should first raise the matter directly with that Business, as it is responsible for the goods or services supplied.

Although Privi cannot resolve disputes relating to the underlying transaction, feedback may be considered when reviewing a Business's continued participation on the Platform.

9. Redemption Rules

9.1 General Redemption

Business Offers may only be redeemed using the method approved by both Privi and the participating Business.

Approved redemption methods may include:

  • an in-app barcode;
  • an in-app QR code;
  • a unique promotional code;
  • another validation method approved by Privi.

The approved redemption method will be displayed alongside the relevant offer.

9.2 Active Membership Required

Offers may only be redeemed whilst the Member holds an active Membership.

Businesses may request verification that a Membership is active before accepting an offer.

If a Membership has expired, been suspended or cancelled, offers may not be redeemed.

9.3 Following Offer Conditions

Members must comply with all conditions attached to an offer.

Failure to satisfy an offer's published conditions may result in the Business declining the redemption.

9.4 Personal Use Only

Offers are intended solely for the personal use of the registered Member.

Unless expressly stated within the offer, Members must not:

  • transfer offers to another person;
  • sell offers;
  • reproduce offers;
  • commercially exploit offers.

9.5 Verification

Businesses may take reasonable steps to verify eligibility before accepting an offer.

Verification may include confirming:

  • that the Membership is active;
  • that the redemption method is valid;
  • that the offer conditions have been met.

Members must cooperate with reasonable verification requests.

9.6 Misuse of Offers

Privi takes misuse of Membership benefits seriously.

Examples of misuse include:

  • attempting to redeem expired offers;
  • altering or manipulating redemption methods;
  • presenting copied or fraudulent redemption screens;
  • attempting multiple redemptions where not permitted;
  • knowingly providing false information;
  • abusing Businesses or their staff in connection with an offer.

Where misuse is identified, Privi may suspend or terminate Membership without refund.

9.7 Technical Issues

If a technical issue prevents redemption, Members should notify the Business where appropriate and contact Privi as soon as reasonably practicable.

Neither Privi nor the Business guarantees that technical issues can always be resolved immediately.

Where reasonably possible, Privi will investigate genuine technical issues affecting offer redemption.

9.8 Right to Decline Redemption

A Business may decline an offer redemption where it reasonably believes:

  • the Membership is inactive;
  • the offer conditions have not been met;
  • fraud is suspected;
  • the redemption method has been tampered with;
  • the Member is attempting to misuse the Platform.

Nothing in this section limits the statutory rights of Members under applicable consumer legislation.

9.9 Fair Use

Members are expected to use Privi fairly and in good faith.

Privi reserves the right to investigate unusual redemption activity where it reasonably believes the Platform is being used in a manner inconsistent with these Terms.

Reasonable investigations help protect honest Members, participating Businesses and the long-term integrity of the Privi Membership service.

10. Member Responsibilities

10.1 Responsible Use

Members are expected to use the Privi Platform responsibly, lawfully and in accordance with these Terms.

By using Privi, you agree to act honestly and respectfully towards Privi, participating Businesses, their employees and other Members.

10.2 Compliance with these Terms

Members must comply with:

  • these Terms and Conditions;
  • all policies published by Privi;
  • the conditions attached to individual Business Offers;
  • all applicable laws and regulations when using the Platform.

Failure to comply may result in the suspension or termination of Membership.

10.3 Respect for Participating Businesses

Businesses participate in Privi voluntarily.

Members must not:

  • behave abusively towards Business owners or staff;
  • pressure a Business to provide an offer that is unavailable or no longer valid;
  • knowingly attempt to use an offer outside its published conditions;
  • misrepresent what an offer includes;
  • disrupt the normal operation of a participating Business.

Privi expects Members to treat participating Businesses with courtesy and respect at all times.

10.4 Respect for the Platform

Members must not knowingly take any action that could interfere with the operation, security or reliability of the Platform.

Examples include attempting to:

  • overload the Platform;
  • disrupt services;
  • interfere with security measures;
  • gain unauthorised access to systems;
  • bypass technical controls.

10.5 Keeping Information Up to Date

Members are responsible for maintaining accurate account information.

This includes keeping current:

  • email address;
  • payment information where applicable;
  • any other information necessary for the operation of the Membership.

Failure to maintain accurate information may affect access to Membership services.

10.6 Device Security

Members are responsible for the security of the devices used to access Privi.

Privi recommends that Members:

  • keep devices updated;
  • use secure passwords or biometric security where available;
  • install software updates promptly;
  • avoid accessing their account using untrusted or compromised devices.

10.7 Reporting Issues

Members are encouraged to report:

  • technical faults;
  • inaccurate Business information;
  • suspected fraudulent activity;
  • inappropriate content;
  • security concerns;
  • suspected misuse of the Platform.

Prompt reporting helps Privi maintain the quality and integrity of the Membership service.

10.8 Good Faith

Privi is built on trust between Members, Businesses and the Platform.

Members agree to use the service honestly and in good faith.

Behaviour intended to exploit loopholes, abuse offers or gain unfair advantages is inconsistent with these Terms and may result in action being taken against the account.

11. Prohibited Behaviour

11.1 General Prohibition

Members must not use Privi in any unlawful, fraudulent, dishonest or abusive manner.

The following examples are prohibited. This list is not exhaustive.

11.2 Account Sharing

Members must not:

  • allow another person to use their Membership;
  • share login credentials;
  • lend, rent or sell access to their account;
  • permit another person to redeem offers using their Membership.

Membership is personal to the registered account holder.

11.3 Fraudulent Activity

Members must not:

  • create false accounts;
  • impersonate another individual;
  • provide false information;
  • manipulate Membership status;
  • attempt to obtain unauthorised discounts;
  • knowingly engage in fraudulent activity.

Any suspected fraud may be investigated and reported to the appropriate authorities where required.

11.4 Manipulation of Offers

Members must not attempt to:

  • alter redemption methods;
  • duplicate redemption codes;
  • circumvent offer conditions;
  • exploit software errors;
  • repeatedly redeem offers contrary to published conditions;
  • assist another person in obtaining unauthorised Membership benefits.

11.5 Misuse of the Platform

Members must not:

  • interfere with the operation of the Platform;
  • attempt to access restricted areas;
  • introduce malicious software;
  • distribute viruses or harmful code;
  • conduct security testing without permission;
  • attempt to disrupt normal service.

11.6 Automated Access

Unless expressly authorised by Privi in writing, Members must not:

  • use bots;
  • use automated scripts;
  • scrape data;
  • harvest Business information;
  • extract databases;
  • use automated systems to access or monitor the Platform.

Reasonable use by standard web browsers and mobile devices is unaffected.

11.7 Intellectual Property Misuse

Members must not copy, reproduce, modify, distribute or commercially exploit any part of the Platform without the prior written permission of Privi or the relevant rights holder.

This includes, but is not limited to:

  • logos;
  • branding;
  • graphics;
  • software;
  • databases;
  • written content;
  • Business information.

11.8 Unlawful Conduct

Members must not use the Platform to:

  • commit criminal offences;
  • facilitate unlawful activity;
  • breach the rights of others;
  • distribute unlawful content;
  • encourage illegal behaviour.

Privi reserves the right to cooperate with law enforcement agencies where required by law.

11.9 False Complaints and Reviews

Members must not knowingly submit:

  • false complaints;
  • malicious reports;
  • misleading information;
  • defamatory statements;
  • fabricated reviews.

Privi may investigate reports where misuse is suspected.

11.10 Circumvention

Members must not intentionally attempt to bypass these Terms or any technical or operational controls implemented by Privi.

This includes attempting to exploit omissions, software behaviour or administrative processes to obtain benefits not intended by the Membership.

11.11 Consequences of Prohibited Behaviour

Where Privi reasonably believes that prohibited behaviour has occurred, it may take one or more of the following actions:

  • issue a warning;
  • suspend Membership;
  • terminate Membership;
  • remove access to particular features;
  • refuse future Membership applications;
  • recover losses where legally permitted;
  • report suspected criminal activity to the appropriate authorities.

The action taken will depend upon the seriousness and circumstances of the breach.

12. Account Suspension and Termination

12.1 Suspension

Privi may suspend a Member's account where it reasonably believes that suspension is necessary to:

  • investigate suspected misuse;
  • prevent fraud;
  • protect Businesses;
  • protect other Members;
  • protect the security or integrity of the Platform;
  • comply with legal obligations.

During a suspension, access to some or all Membership benefits may be restricted.

12.2 Termination by Privi

Privi may terminate a Membership where, including but not limited to, a Member:

  • commits a serious breach of these Terms;
  • repeatedly breaches these Terms;
  • engages in fraudulent activity;
  • abuses participating Businesses or their staff;
  • fails to maintain required subscription payments;
  • uses the Platform unlawfully;
  • creates unacceptable legal, financial or operational risk for Privi.

Termination may occur immediately where the circumstances reasonably justify doing so.

12.3 Termination by the Member

Members may terminate their Membership by cancelling their Subscription in accordance with Section 6.

Termination by the Member does not affect any rights or obligations that arose before the Membership ended.

12.4 Effect of Termination

Following termination:

  • access to Member-only features will end;
  • Business Offers will no longer be available;
  • recurring payments will cease where applicable;
  • certain account information may be retained where required by law or in accordance with the Privacy Policy.

Termination does not affect any legal rights or obligations that survive the end of the Membership.

12.5 Appeals

Where a Member believes their account has been suspended or terminated in error, they may contact Privi to request that the decision be reviewed.

Privi will consider all reasonable information provided but reserves the right to make the final decision regarding continued access to the Platform.

Nothing in this section prevents Privi from taking immediate action where necessary to protect the Platform, participating Businesses or other Members.

13. Intellectual Property

13.1 Ownership

Unless otherwise stated, all intellectual property rights in the Privi Platform are owned by, licensed to, or lawfully used by Privi.

This includes, but is not limited to:

  • the Privi name;
  • logos and branding;
  • software;
  • website design;
  • mobile application design;
  • databases;
  • written content;
  • graphics;
  • icons;
  • layouts;
  • source code;
  • functionality;
  • documentation.

Nothing in these Terms transfers ownership of any intellectual property rights to a Member.

13.2 Limited Licence

Subject to these Terms, Privi grants Members a limited, non-exclusive, non-transferable and revocable licence to access and use the Platform solely for personal, non-commercial purposes during an active Membership.

This licence ends automatically when Membership ends or access to the Platform is terminated.

13.3 Restrictions

Except where permitted by law or expressly authorised by Privi in writing, Members must not:

  • copy or reproduce any part of the Platform;
  • modify Platform content;
  • distribute Platform content;
  • commercially exploit Platform content;
  • create derivative works;
  • reverse engineer software;
  • decompile or disassemble software;
  • remove copyright or proprietary notices;
  • use Privi branding without permission.

13.4 Business Intellectual Property

Businesses retain ownership of their own:

  • names;
  • logos;
  • trademarks;
  • product descriptions;
  • promotional materials;
  • other intellectual property published through the Platform.

Publication on Privi does not transfer ownership of those rights to Privi or to Members.

13.5 Feedback

Where a Member voluntarily provides suggestions, recommendations or feedback regarding Privi, the Member grants Privi the right to use that feedback for the purpose of improving the Platform without any obligation to provide payment or acknowledgement.

This does not affect any rights a Member may have under applicable intellectual property law in relation to original works independently created outside such feedback.

13.6 Copyright Infringement

Privi respects the intellectual property rights of others.

If any person believes that content available on the Platform infringes their intellectual property rights, they should contact Privi with sufficient information to enable the matter to be investigated.

Where appropriate, Privi may remove or restrict access to the disputed content while enquiries are carried out.

14. Privacy and Data Protection

14.1 Privacy

Privi is committed to protecting personal information and handling data responsibly.

The collection, use, storage and protection of personal data is governed by the Privi Privacy Policy.

By using the Platform, Members acknowledge that their personal information will be processed in accordance with that Privacy Policy.

14.2 Data Protection

Privi processes personal information in accordance with applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

Privi takes appropriate technical and organisational measures to safeguard personal information against unauthorised access, loss, misuse or disclosure.

14.3 Third-Party Services

Certain services used by Privi, including payment processing and other operational services, may be provided by carefully selected third-party providers.

Where personal information is shared with such providers, it will be limited to what is reasonably necessary for the relevant service and handled in accordance with applicable data protection laws.

14.4 Member Responsibilities

Members are responsible for keeping their account information accurate and for protecting access to their account.

Members should notify Privi promptly if they believe their account or personal information has been compromised.

15. Limitation of Liability

15.1 Reasonable Care

Privi will exercise reasonable care and skill in providing the Platform and Membership services.

However, no online service can guarantee uninterrupted availability or that every aspect of the Platform will always operate without error.

15.2 Nature of the Service

Privi provides access to offers made available by participating Businesses.

Privi is not the supplier of the goods or services purchased from those Businesses and is not responsible for their actions, omissions or performance.

Contracts for goods or services are formed directly between the Member and the relevant Business.

15.3 Business Responsibility

To the fullest extent permitted by law, Privi is not responsible for:

  • the quality of products or services supplied by Businesses;
  • food quality or food safety;
  • pricing decisions;
  • availability of stock;
  • booking availability;
  • customer service standards;
  • delivery times;
  • warranties;
  • refunds relating to goods or services;
  • acts or omissions of participating Businesses.

Any concerns regarding those matters should be raised directly with the relevant Business.

15.4 Accuracy of Information

Privi takes reasonable steps to ensure that information displayed on the Platform is accurate.

However, information may occasionally become outdated or contain errors due to changes made by participating Businesses or circumstances outside Privi's reasonable control.

Members should verify any important information, including opening hours, booking requirements and offer conditions, before making travel arrangements or purchases.

15.5 Availability of the Platform

Privi does not guarantee that the Platform will always be available, uninterrupted, secure or free from errors.

Temporary interruptions may occur due to:

  • maintenance;
  • software updates;
  • technical faults;
  • failures affecting third-party providers;
  • internet connectivity issues;
  • cyber security incidents;
  • events beyond Privi's reasonable control.

Privi will use reasonable endeavours to restore normal service as quickly as reasonably practicable.

15.6 No Guarantee of Particular Offers

Privi does not guarantee:

  • that any particular Business will remain on the Platform;
  • that a particular offer will continue to be available;
  • that offers will be available in every geographical area;
  • that Members will achieve a particular level of savings;
  • that Businesses will continue trading.

Membership provides access to the Platform and participating Businesses available at the relevant time.

15.7 Indirect Loss

To the fullest extent permitted by law, Privi shall not be liable for indirect or consequential losses arising from the use of the Platform.

This includes, where applicable:

  • loss of profits;
  • loss of business opportunity;
  • loss of anticipated savings unrelated to the Membership itself;
  • loss of goodwill;
  • loss of reputation;
  • interruption to business activities.

This section applies only to the extent permitted by applicable law.

15.8 Consumer Rights

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

In particular, nothing in these Terms excludes or limits liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • any rights that consumers cannot legally waive under applicable legislation.

Your statutory rights remain unaffected.

15.9 Force Majeure

Privi shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control.

Examples include, but are not limited to:

  • natural disasters;
  • fire;
  • flood;
  • severe weather;
  • war;
  • terrorism;
  • civil unrest;
  • industrial disputes;
  • interruption of utilities;
  • internet failures;
  • failures affecting third-party service providers;
  • government action;
  • public health emergencies.

Privi will take reasonable steps to minimise the impact of such events where reasonably practicable.

16. Changes to the Service

16.1 Continuous Improvement

Privi is committed to continually improving the Membership experience.

To support the ongoing development of the Platform, Privi may introduce new features, functionality, categories, services or tools from time to time.

Such improvements are intended to enhance the value of Membership and may be implemented without prior notice where they do not materially affect Members' rights.

16.2 Changes to Features

Privi reserves the right to:

  • add new features;
  • modify existing functionality;
  • improve the user interface;
  • introduce new Membership benefits;
  • remove obsolete features;
  • replace technology used within the Platform.

Privi will endeavour to ensure that changes improve the overall Member experience wherever reasonably possible.

16.3 Changes to Businesses and Offers

The Businesses and Offers available through Privi will naturally change over time.

Businesses may:

  • join the Platform;
  • leave the Platform;
  • amend their offers;
  • introduce new promotions;
  • discontinue existing promotions.

These changes form part of the normal operation of the Membership service.

16.4 Maintenance

Privi may temporarily suspend access to all or part of the Platform in order to:

  • carry out scheduled maintenance;
  • install software updates;
  • improve security;
  • investigate technical issues;
  • upgrade infrastructure.

Where reasonably practicable, planned maintenance that is expected to significantly affect Members will be communicated in advance.

16.5 Emergency Changes

Privi may make immediate changes where reasonably necessary to:

  • address security vulnerabilities;
  • prevent fraud;
  • comply with legal obligations;
  • protect Members;
  • protect participating Businesses;
  • maintain the integrity of the Platform.

Where possible, Members will be informed after such changes have been implemented.

16.6 Discontinuation of Services

If Privi decides to permanently discontinue a significant part of the Membership service, reasonable notice will normally be provided where practicable.

Nothing in this section affects any statutory rights that Members may have under applicable law.

17. Changes to these Terms

17.1 Right to Update

Privi may amend these Terms from time to time.

Updates may be necessary to reflect:

  • changes in legislation;
  • regulatory requirements;
  • developments in technology;
  • improvements to the Platform;
  • changes to business operations;
  • the introduction of new Membership features.

17.2 Notification

Where changes materially affect the rights or obligations of Members, Privi will provide reasonable notice before the updated Terms take effect.

Notice may be provided by:

  • email;
  • in-app notification;
  • publication on the Privi website;
  • another appropriate communication method.

17.3 Continued Use

By continuing to use the Platform after updated Terms take effect, Members agree to be bound by those revised Terms.

If a Member does not agree with the revised Terms, they should cancel their Membership in accordance with these Terms.

18. Governing Law and Jurisdiction

18.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and interpreted in accordance with the laws of England and Wales.

18.2 Jurisdiction

Subject to any mandatory rights available to consumers under applicable law, the courts of England and Wales shall have jurisdiction to hear any dispute arising from these Terms or the use of the Privi Platform.

Nothing in these Terms limits any statutory rights allowing consumers to bring proceedings in another court where such rights are provided by law.

18.3 Severability

If any provision of these Terms is found by a court or other competent authority to be unlawful, invalid or unenforceable, that provision shall be treated as severed from the remaining Terms.

The remainder of these Terms shall continue in full force and effect.

18.4 Waiver

If Privi delays or chooses not to exercise any right available under these Terms, this shall not prevent Privi from exercising that right at a later time.

Any waiver must be made expressly and shall apply only to the specific circumstance for which it is given.

18.5 Entire Agreement

These Terms, together with any policies expressly referred to within them, constitute the entire agreement between Privi and the Member in relation to the use of the Platform and supersede any previous discussions, understandings or agreements relating to the same subject matter.

19. Company Information

The official website will display the company information required by applicable law, including, where relevant: the registered company name, company registration number, registered office address, contact email address, and VAT registration details (if applicable).

20. Subscription Terms

This section sets out Privi's Subscription Terms in full, explaining how Membership subscriptions operate, including subscription plans, payments, renewals and cancellations. It should be read together with Sections 4 to 7 above.

20.1 Available Plans

At launch, Privi offers the following subscription options:

  • Monthly Membership; and
  • Annual Membership.

Details of the current subscription prices are published on the official Privi website and mobile application.

20.2 Currency

Unless otherwise stated, all subscription prices are displayed and charged in Pounds Sterling (£).

20.3 Changes to Available Plans

Privi may introduce, amend or discontinue subscription plans from time to time.

Such changes will not affect existing Members until their next renewal unless required by law or otherwise agreed.

20.4 Account Requirement

A Privi account must be created before a Membership subscription can be purchased.

Members are responsible for ensuring that the information provided during registration is accurate and up to date.

20.5 Payment Authorisation

By purchasing a Membership, you authorise Privi and its appointed payment provider to collect subscription payments using your chosen payment method in accordance with this section.

20.6 Subscription Activation

Your Membership becomes active once:

  • payment has been successfully authorised;
  • your account has been activated; and
  • access to the Membership service has been granted.

20.7 Automatic Renewal

All Membership subscriptions automatically renew unless cancelled before the next renewal date.

By purchasing a Membership, you agree to recurring payments in accordance with your selected subscription plan.

20.8 Renewal Date

Renewal payments will normally be collected on or shortly before the renewal date using your nominated payment method.

Members are responsible for ensuring that valid payment details remain available.

20.9 Renewal Pricing

Membership renews at the subscription price applicable at the time of renewal.

Where Privi intends to increase subscription prices, reasonable notice will be provided before the revised price takes effect.

Members who do not wish to continue at the revised price may cancel before their next renewal date.

20.10 Payment Failure

If a subscription payment cannot be collected, Privi may:

  • notify the Member;
  • retry the payment;
  • temporarily suspend Membership benefits;
  • restrict access to Member-only services.

20.11 Continued Non-Payment

Where payment remains outstanding after reasonable attempts to collect it, Privi may cancel the Membership.

Cancellation does not affect any outstanding payment obligations that arose before cancellation.

20.12 Member Cancellation

Members may cancel their subscription at any time using the cancellation methods made available by Privi.

Cancellation prevents future renewals but does not normally end the current paid subscription period.

20.13 Continued Access

Following cancellation, Membership benefits remain available until the end of the current paid subscription period.

Once that period expires:

  • Member-only features will no longer be accessible;
  • Business Offers may no longer be redeemed;
  • the Membership will become inactive.

20.14 Re-Subscription

Former Members may purchase a new Membership at any time.

Any promotional pricing, introductory offers or previous subscription arrangements may no longer be available.

20.15 Complimentary Memberships

Privi may, at its sole discretion, provide complimentary Memberships to selected individuals.

Complimentary Memberships may be issued for purposes including:

  • testing;
  • promotional activity;
  • business development;
  • goodwill;
  • recognition;
  • administrative purposes.

The availability of complimentary Memberships does not create any entitlement for other individuals to receive one.

20.16 Duration of Complimentary Memberships

Complimentary Memberships may be:

  • time limited;
  • ongoing;
  • renewable;
  • manually managed by Privi.

The duration of each complimentary Membership is determined solely by Privi.

20.17 Withdrawal of Complimentary Memberships

Privi reserves the right to withdraw, amend or end a complimentary Membership at any time where reasonably necessary.

Examples include: misuse of Membership; operational changes; administrative error; security concerns; breach of Privi policies.

20.18 Complimentary Memberships are Non-Transferable

Complimentary Memberships:

  • are personal to the individual receiving them;
  • cannot be sold;
  • cannot be transferred;
  • cannot be exchanged for cash;
  • have no monetary value.

20.19 Changes to Membership

Privi may introduce improvements to the Membership service throughout the subscription period.

Such improvements may include:

  • additional Businesses;
  • new Business categories;
  • new Member features;
  • enhancements to the Platform;
  • technological improvements.

Privi may also remove or replace features that are no longer appropriate or commercially viable.

20.20 Suspension or Termination

Privi may suspend or terminate a Membership in accordance with these Terms.

Reasons may include:

  • non-payment;
  • fraud;
  • misuse of Membership;
  • breach of Privi policies;
  • unlawful activity.

Where appropriate, Members may request that a suspension or termination decision be reviewed.

20.21 Refunds

Refunds relating to Membership subscriptions are governed by Section 21 (Cancellation and Refund Policy) below.

Nothing in this section limits any statutory rights available to consumers under applicable law.

20.22 Changes to this Section

Privi may amend this section from time to time to reflect:

  • changes in legislation;
  • operational improvements;
  • new Membership features;
  • changes to payment processes.

The latest version will always be published on the official Privi website.

Where changes materially affect Members, reasonable notice will be provided.

21. Cancellation and Refund Policy

This section sets out Privi's Cancellation and Refund Policy in full, explaining how Members may cancel their Membership, the circumstances in which refunds may be available and the process followed by Privi when considering refund requests. It should be read together with Sections 6 and 7 above.

21.1 Our Approach

Privi aims to operate a fair, transparent and consistent Membership service.

We understand that circumstances can change, and each refund request will be considered fairly and in accordance with this section and applicable consumer legislation.

21.2 Cancellation by the Member

You may cancel your Membership at any time through your account or by using any other cancellation method made available by Privi.

Cancellation prevents future subscription payments from being collected.

Unless otherwise stated in this section or required by law, cancelling your Membership does not immediately end your access to Member benefits.

21.3 Access Following Cancellation

Following cancellation:

  • your Membership will remain active until the end of your current paid subscription period;
  • you will continue to have access to Member benefits during that period;
  • your Membership will not automatically renew.

Once your paid subscription period ends, access to Member-only features and Business Offers will cease.

21.4 Rejoining

Former Members may purchase a new Membership at any time, subject to the Membership plans, prices and promotions available at the time of rejoining.

Privi cannot guarantee that previous pricing, promotional offers or Membership arrangements will remain available.

21.5 Consumer Cooling-Off Rights

Where applicable, consumers purchasing a Membership online may have the right to cancel within the statutory cooling-off period provided by applicable consumer legislation.

21.6 Immediate Access to Digital Services

During the purchase process, Members may request immediate access to the digital Membership service.

Where immediate access has been requested and expressly acknowledged, your statutory cancellation rights may be reduced or lost in accordance with applicable consumer legislation.

Nothing in this section limits any rights that cannot legally be excluded.

21.7 Refund Eligibility — General Principle

Membership fees are paid in exchange for access to the Privi Membership service throughout the applicable subscription period.

Unless required by law or otherwise stated in this section, subscription payments are non-refundable once paid.

21.8 Circumstances Where a Refund May Be Approved

Privi may approve a full or partial refund where:

  • a duplicate payment has been processed;
  • an incorrect amount has been charged due to an administrative or technical error;
  • payment has been taken after a Membership was correctly cancelled;
  • Privi has made an error affecting the Member's subscription;
  • a refund is required by applicable law;
  • exceptional circumstances exist which, in Privi's reasonable opinion, justify a refund.

Each request will be assessed on its individual circumstances.

21.9 Circumstances Where Refunds Will Not Normally Be Available

Refunds will not normally be provided because:

  • a Member has not used their Membership;
  • a Member has not redeemed any offers;
  • a Member decides they no longer require the Membership;
  • a Member forgets to use the service;
  • a Member relocates;
  • a Member's personal circumstances change;
  • an individual Business leaves the Platform;
  • an individual Offer is amended or withdrawn;
  • a preferred Business is no longer participating;
  • a Member chooses not to use available offers.

Membership provides ongoing access to the Platform rather than guaranteeing access to any specific Business or Offer.

21.10 Goods and Services Purchased from Businesses

Privi is not responsible for goods or services supplied by participating Businesses.

Refunds relating to products, meals, appointments or other services purchased from a Business remain the responsibility of that Business.

Members should contact the Business directly regarding:

  • product refunds;
  • service complaints;
  • cancellations;
  • warranties;
  • exchanges;
  • pricing disputes.

21.11 Business Closure

If a participating Business permanently closes, temporarily ceases trading or leaves the Platform, this does not normally entitle Members to a Membership refund.

Privi continually develops and refreshes its network of participating Businesses throughout the Membership period.

21.12 Complimentary Memberships

From time to time, Privi may issue complimentary Memberships at its sole discretion.

Complimentary Memberships:

  • are not purchased;
  • carry no monetary value;
  • are not exchangeable for cash;
  • are not eligible for refunds.

Privi reserves the right to withdraw or amend complimentary Memberships where reasonably necessary.

21.13 Refund Decisions

Refund requests will be reviewed fairly and consistently.

Privi may:

  • approve the request in full;
  • approve a partial refund where appropriate;
  • decline the request where it does not meet the requirements of this section.

Where reasonably practicable, Privi will explain the outcome of its decision.

21.14 Payment of Approved Refunds

Approved refunds will normally be returned using the original payment method.

Where this is not reasonably possible, Privi may agree an alternative method.

Processing times will depend upon the relevant payment provider and financial institution.

21.15 Fraudulent Refund Requests

Privi reserves the right to investigate refund requests where fraud or misuse is suspected.

Knowingly providing false or misleading information in support of a refund request may result in:

  • refusal of the refund;
  • suspension or termination of Membership;
  • recovery of any losses where legally permitted;
  • referral to the appropriate authorities where unlawful activity is suspected.

21.16 Changes to this Section

Privi may update this section from time to time to reflect:

  • changes in legislation;
  • changes to Membership services;
  • operational improvements;
  • changes to business practices.

The latest version will always be published on the official Privi website.

22. Members' Rules

This section sets out Privi's Members' Rules in full — the standards expected of all Privi Members, intended to help ensure Privi remains a trusted, fair and enjoyable Membership platform for everyone, including Members, participating Businesses and Privi. It should be read together with Sections 10 and 11 above and Section 23 (Acceptable Use Policy) below.

22.1 Who these Rules Apply To

These Rules apply to every individual holding a Privi Membership.

By using your Membership, you agree to follow these Rules at all times.

22.2 Use Your Membership Personally

Your Membership is issued solely for your personal use.

You must not:

  • share your Membership with another person;
  • allow another person to use your account;
  • sell, lend or transfer your Membership;
  • allow another individual to redeem offers using your Membership.

Each Membership is intended for one individual only.

22.3 Keep Your Account Secure

You are responsible for protecting your account.

You should:

  • keep your password confidential;
  • use a secure password;
  • keep your account details up to date;
  • notify Privi promptly if you suspect unauthorised access.

You remain responsible for activity carried out using your account unless you have informed Privi that your account security has been compromised.

22.4 Follow Offer Conditions

Every Business Offer has its own conditions.

Before redeeming an offer, you should ensure that you understand:

  • any booking requirements;
  • excluded products or services;
  • minimum spend requirements;
  • valid days or times;
  • expiry dates;
  • redemption limits;
  • any other published conditions.

Businesses may refuse an offer where its published conditions have not been met.

22.5 Be Honest

Members are expected to use Privi honestly and in good faith.

You must not:

  • provide false information;
  • attempt to manipulate offers;
  • misuse Membership benefits;
  • exploit software errors;
  • knowingly obtain benefits to which you are not entitled.

Honest use helps ensure that Businesses continue to support the Privi Membership programme.

22.6 Treat Businesses with Respect

Participating Businesses choose to work with Privi in order to provide value to Members.

When visiting a Business, you are expected to:

  • behave courteously;
  • follow reasonable instructions;
  • respect Business staff;
  • comply with the Business's own lawful policies;
  • present your Membership when required.

Privi will not tolerate abusive, threatening, intimidating or discriminatory behaviour towards Business owners or employees.

22.7 Treat Other Members with Respect

Where Members interact through any Privi service or communication channel, they are expected to act respectfully.

You must not:

  • harass other Members;
  • threaten other users;
  • discriminate unlawfully;
  • post abusive or offensive content;
  • engage in bullying or intimidation.

Privi may remove content or take action against Members who fail to meet these standards.

22.8 Respect the Platform

Privi has been developed to provide a reliable Membership service.

You must not:

  • interfere with the operation of the Platform;
  • attempt to gain unauthorised access;
  • introduce malicious software;
  • interfere with security measures;
  • disrupt the experience of other users.

Any activity intended to compromise the Platform may result in immediate action.

22.9 Use Offers Fairly

Business Offers are intended to be used exactly as published.

You must not:

  • attempt to redeem expired offers;
  • alter redemption methods;
  • duplicate redemption codes;
  • repeatedly redeem offers where not permitted;
  • pressure Businesses to ignore offer conditions.

Fair use helps maintain trust between Members and participating Businesses.

22.10 Respect Intellectual Property

All content available through Privi remains protected by intellectual property law.

Without prior written permission, you must not:

  • copy large sections of content;
  • reproduce logos or branding;
  • distribute software;
  • commercially exploit Platform content;
  • reverse engineer the Platform except where permitted by law.

Businesses also retain ownership of their own logos, branding and promotional material.

22.11 Report Problems

Members are encouraged to report:

  • technical issues;
  • incorrect Business information;
  • suspected fraud;
  • misuse of Membership;
  • security concerns;
  • inappropriate behaviour.

Prompt reporting helps protect the quality and integrity of the Membership service.

22.12 Consequences of Breaching this Section

Where Privi reasonably believes this section has been breached, it may take one or more of the following actions:

  • issue advice or a warning;
  • request further information;
  • temporarily restrict access to certain services;
  • suspend Membership;
  • terminate Membership;
  • refuse future Membership applications;
  • report unlawful activity to the appropriate authorities where required.

The action taken will depend upon the seriousness of the breach and the surrounding circumstances.

22.13 Changes to this Section

Privi may amend this section from time to time to reflect:

  • changes in legislation;
  • improvements to the Platform;
  • operational requirements;
  • developments to the Membership service.

23. Acceptable Use Policy

This section sets out Privi's Acceptable Use Policy in full — the standards of behaviour expected from anyone accessing or using the Privi website, mobile application or Membership services, intended to protect Members, participating Businesses, Privi and the integrity of the Platform.

23.1 Scope

This section applies to:

  • Members;
  • visitors to the Privi website;
  • anyone creating an account;
  • anyone using the Privi mobile application;
  • any individual interacting with the Platform or its services.

23.2 General Principles

Privi is built on trust, fairness and respect.

Users are expected to use the Platform honestly, responsibly and lawfully.

You must not use Privi in any way that:

  • breaches applicable laws or regulations;
  • infringes the rights of others;
  • compromises the security or operation of the Platform;
  • damages the reputation of Privi or participating Businesses;
  • interferes with another person's use of the Platform.

23.3 Lawful Use

You must only use Privi for lawful purposes.

You must not use the Platform to:

  • commit or facilitate criminal activity;
  • engage in fraud;
  • obtain unauthorised financial benefit;
  • breach intellectual property rights;
  • breach contractual obligations;
  • assist another person in unlawful activity.

23.4 Account Security

You are responsible for maintaining the security of your account.

You must:

  • keep your login details confidential;
  • use a secure password;
  • notify Privi promptly if you believe your account has been compromised;
  • take reasonable steps to prevent unauthorised access.

You must not knowingly allow another person to use your Membership account.

23.5 Fair Use of Membership

Membership is intended solely for the personal use of the registered Member.

You must not:

  • share your Membership with another person;
  • sell or transfer your Membership;
  • create multiple accounts to obtain additional Membership benefits;
  • attempt to bypass Membership restrictions;
  • use Membership for commercial purposes unless expressly authorised by Privi.

23.6 Use of Business Offers

When using Business Offers, you must:

  • comply with the published conditions of each offer;
  • present valid Membership where required;
  • act honestly during redemption;
  • treat Business staff with courtesy and respect.

You must not:

  • alter redemption methods;
  • use copied or manipulated redemption screens;
  • knowingly redeem expired offers;
  • attempt repeated redemptions where not permitted;
  • pressure Businesses to provide benefits outside their published offers.

23.7 Respectful Behaviour

You must behave respectfully towards:

  • Privi employees and representatives;
  • participating Businesses;
  • Business owners;
  • Business employees;
  • other Members.

The following behaviour is unacceptable:

  • abusive language;
  • threatening behaviour;
  • intimidation;
  • discrimination;
  • harassment;
  • aggressive conduct;
  • behaviour likely to place another person at risk.

Privi reserves the right to take action where unacceptable behaviour occurs, whether online or during the use of a Business Offer.

23.8 Prohibited Technical Activities

You must not:

  • attempt to gain unauthorised access to the Platform;
  • interfere with security systems;
  • introduce malicious software;
  • distribute viruses;
  • perform denial-of-service attacks;
  • probe or test security vulnerabilities without permission;
  • interfere with the normal operation of the Platform.

Any activity likely to compromise the security or availability of Privi is strictly prohibited.

23.9 Automated Access

Unless expressly authorised by Privi in writing, you must not:

  • use bots;
  • use automated scripts;
  • scrape content;
  • harvest data;
  • extract Business information;
  • copy databases;
  • use automated monitoring tools.

Normal access using standard web browsers and supported mobile devices is unaffected.

23.10 Intellectual Property

You must respect the intellectual property rights of Privi and participating Businesses.

You must not, without prior written permission:

  • copy content;
  • reproduce branding;
  • modify logos;
  • distribute software;
  • commercially exploit Platform content;
  • reverse engineer software except where permitted by law.

23.11 User Content

Where Privi allows users to submit information, comments or other content, you are responsible for ensuring that your submissions:

  • are accurate;
  • are lawful;
  • do not infringe the rights of others;
  • are not misleading;
  • are not defamatory;
  • are not abusive;
  • do not contain malicious software.

Privi reserves the right to remove content that does not comply with this section.

23.12 Fraud Prevention

You must not:

  • impersonate another person;
  • provide false information;
  • manipulate Membership status;
  • submit fraudulent refund requests;
  • exploit software errors;
  • attempt to obtain benefits to which you are not entitled.

Privi may investigate suspected fraud and cooperate with law enforcement agencies where required by law.

24. Consumer Rights and Complaints

This section sets out Privi's Consumer Rights and Complaints Policy in full, explaining the rights of Privi Members when using the Membership service and how Privi handles concerns Members raise.

24.1 Scope

This section applies to:

  • all Privi Members;
  • prospective Members making enquiries regarding the Membership service;
  • concerns relating to the operation of the Privi Platform.

Concerns relating to goods or services supplied by participating Businesses remain the responsibility of the relevant Business, although Privi may review such matters where they relate to a Business's continued participation on the Platform.

24.2 Our Commitment

Privi aims to:

  • provide a reliable Membership service;
  • communicate clearly and honestly;
  • treat Members fairly and respectfully;
  • investigate concerns objectively;
  • resolve issues as efficiently as reasonably possible;
  • learn from feedback to improve the Membership service.

24.3 Your Consumer Rights

Nothing contained within any Privi policy limits or excludes statutory rights that cannot legally be excluded under applicable consumer protection legislation.

Members remain entitled to all legal rights available under applicable law.

24.4 Types of Concerns Privi Can Review

Privi can review matters relating to:

  • Membership subscriptions;
  • account access;
  • billing issues;
  • technical problems;
  • website or app functionality;
  • administrative errors;
  • concerns regarding the operation of the Platform.

24.5 Business-Related Matters

Where a concern relates to:

  • the quality of food or drink;
  • products purchased;
  • services received;
  • appointments;
  • delivery of goods;
  • pricing charged by a Business;
  • refunds for goods or services;
  • customer service provided by a Business,

the Member should first contact the Business directly.

This is because the contract for those goods or services exists between the Member and the Business.

Where appropriate, Privi may consider such matters when reviewing whether a Business should remain on the Platform.

24.6 Possible Outcomes

Where Privi reviews a matter, it may, where appropriate:

  • provide an explanation;
  • correct inaccurate information;
  • resolve a technical issue;
  • apologise for an error;
  • amend administrative records;
  • approve a refund where justified under Section 21 (Cancellation and Refund Policy) above;
  • take action regarding a participating Business;
  • take action regarding a Member who has breached Privi policies.

Each matter will be considered on its individual circumstances.

24.7 Concerns About Businesses

Where repeated or serious concerns are raised regarding a participating Business, Privi may:

  • contact the Business for further information;
  • investigate the circumstances;
  • request corrective action;
  • temporarily suspend an offer;
  • remove an offer;
  • suspend or terminate the Business's participation on the Platform.

Privi is not obliged to disclose the outcome of any action taken against a Business.

24.8 Concerns Raised in Bad Faith

Privi expects any concerns raised to be made honestly and in good faith.

Knowingly submitting false information, malicious allegations, fabricated evidence, or repeated vexatious reports may result in action being taken under these Terms, including Section 23 (Acceptable Use Policy) above.

24.9 Continuous Improvement

Privi values constructive feedback.

Information gathered may be used to:

  • improve the Membership service;
  • improve Platform functionality;
  • strengthen operational procedures;
  • improve Business standards;
  • enhance the Member experience.

Personal information will be processed in accordance with the Privacy Policy.

24.10 Alternative Resolution

Nothing in this section prevents a Member from exercising any legal rights available under applicable law, including referring a matter to the relevant statutory ombudsman or dispute resolution scheme where one applies.

24.11 Changes to this Section

Privi may amend this section from time to time to reflect:

  • operational improvements;
  • developments to the Membership service;
  • changes to how matters are reviewed.

Colour combinations across the app and website are chosen to meet accepted contrast standards, all interactive elements meet a minimum touch target size of 44 x 44pt, screen reader navigation order follows a logical, predictable structure on every screen, and forms display clear inline validation messages without relying on colour alone.

Accessibility is an ongoing commitment rather than a one-off task, and we continue to review and improve it as new features are added and as guidance and standards evolve. While we aim for the highest practical standard of accessibility, some third-party content — such as content provided by participating businesses — may not be fully within our control.

25.13 Changes to the Website

Privi may:

25.15 Governing Law

This section shall be governed by the laws of England and Wales.

Any dispute arising in connection with this section shall be subject to the jurisdiction of the courts of England and Wales, subject to any mandatory legal rights that cannot lawfully be excluded.

26. Referral Programme Terms

This section sets out Privi's Referral Programme Terms in full — how Privi's member referral programme works, including how rewards are earned, when they are applied and the circumstances in which Privi may withhold, reclaim or end them. It should be read together with Section 20 (Subscription Terms) above. Participation in the referral programme is entirely optional and does not affect a Member's underlying Membership.

26.1 How the Programme Works

Every Member is given a unique referral code, generated automatically. A Member may share this code with anyone they choose.

Where a new Member enters a valid referral code when creating their account, and that new Member's first subscription payment is successfully collected:

  • the new Member's second month of Membership is provided free of charge; and
  • the Member whose code was used (the referring Member) receives one free month of Membership.

There is no limit to the number of times a Member may refer new Members. However, the number of referral rewards a Member can hold unused at any given time is capped; once that cap is reached, further successful referrals will not earn an additional reward until previously earned rewards have been applied.

Rewards are applied automatically as a credit towards the relevant Member's next subscription payment. No action is required from either Member to receive a reward once the conditions above are met.

26.2 Eligibility

The referral programme is available to Members with an active, paid Membership subscription. A Member's own referral code remains valid throughout their Membership regardless of whether they choose to use it.

A referral reward can only be applied to a subscription actively billed through Privi's payment provider. Where a Member does not hold such a subscription — for example, a complimentary Membership — a referral reward may not be capable of being applied, notwithstanding a successful referral.

A referral code may only be used when creating a new account. It cannot be applied retrospectively to an existing account.

26.3 No Cash Value

Referral rewards have no cash value, cannot be exchanged for cash, and cannot be transferred, sold or assigned to any other person or account.

26.4 Fair Use

The referral programme must not be used to:

  • create multiple accounts for the purpose of generating rewards;
  • refer accounts that do not represent genuine, distinct individuals; or
  • otherwise abuse, exploit or circumvent the intended operation of the programme.

Where Privi reasonably suspects misuse of the referral programme, it may withhold or reclaim any reward, suspend a Member's participation in the programme, and take any other action available to it under these Terms.

26.5 Changes to the Programme

Privi may modify, suspend or end the referral programme, or change the rewards it offers, at any time. Rewards already properly earned before any such change will not be affected.

Where changes materially affect Members, reasonable notice will be provided in accordance with Section 17 above.
